A Message from our Leadership

Dear fellow employee,

The remarkable success of Koch and its employees has always been rooted in the application of proven principles of human progress and a deep appreciation for the dignity of every individual. For nearly 85 years, we’ve pursued a system of equal rights and mutual benefit at Koch where employees succeed by helping others succeed. This has led to breakthrough innovations and the delivery of goods and services that help people improve their lives, while using fewer resources than alternatives. Our future success depends on continuing to improve our ability to apply these principles through the application of our framework – Principle Based Management™ (PBM).

The Koch Code of Conduct (our Code) is an important way for us to communicate to you and to our partners and to help you make decisions that are consistent with our principles, laws, regulations, and internal standards. Our Code is here to provide you with guidance to apply to your role and to offer you direction on when and how to elevate questions and concerns.

We expect every employee, regardless of role or experience, to live by Our Values and apply PBM. Whether you have been with Koch for days or decades, learning and improving your personal application of PBM is your responsibility. Reading, understanding, and acting in harmony with our Code is a key part of supporting our culture and an expectation for everyone at Koch, regardless of their title or position. We also share our Code with others, which we address later in the “Introduction” section.

We encourage you to talk with your supervisor about any questions or concerns you may have about our Code and how it applies to you and your role. Remember – stop, think, and ask.

The foundation of Our Success

    Treat everyone with honesty, dignity, respect, and sensitivity. Include and embrace different perspectives, experiences, aptitudes, knowledge, and skills in order to leverage the power of diversity.

    Be all you can be. Identify, develop, and apply your gifts and passions so you can best contribute in ways that are most meaningful to you. Be a lifelong learner.

Introduction

Introduction to our code

We have established our Code to connect Our Values to the expectations and responsibilities for every employee, regardless of role or location. Our Code is not a set of rules, but a guide to help you make decisions that are consistent with our principles and values, as well as the laws and regulations that apply to your business activities.
Employee Roles & Responsibilities
We expect all employees to:
  • Uphold, promote, and safeguard our culture by acting and treating everyone with honesty, respect, sensitivity, and dignity.
  • Be familiar and act in harmony with our Code, Stewardship Framework, compliance standards, and the laws and regulations that apply to your roles and responsibilities.
  • Seek guidance, raise concerns, and report any potential or actual violations of our Code, compliance standards, or the law through various channels such as supervisors, human resources, compliance and ethics resources, legal resources, and the GuideLine. If you're uncomfortable or feel your supervisor hasn't addressed an issue, use any of these available options for assistance.
  • Have no tolerance for any retaliation against anyone who reports a concern in good faith. “Good faith” does not mean that a reported concern must be correct, but it does require belief that the information is truthful and complete when reported.
In addition to employee roles & responsibilities, supervisors must also:
  • Lead by example and behave as a model for all employees.
  • Provide education and tools that promote employee understanding and compliance.
  • Create a PBM culture that promotes compliance, encourages employees to raise their questions and concerns, and prohibits retaliation.
  • Promptly address or escalate employee concerns of wrongdoing.
  • Evaluate and, as appropriate, recognize and incentivize employees who adhere to and promote behavior consistent with our culture and legal compliance.
  • Learn more about your key role via Supervising.
We also share our Code with nonemployees, contractors, suppliers, partners, vendors, and third-party intermediaries so that they help us achieve our strategic goals by better understanding and acting within the principles that drive our business. We also perform an appropriate level of due diligence and responsible selection and management of our third-party intermediaries as a core tenet of how we do business. Contractors working at a company site must act in harmony with our Code.

These additional resources are referred to throughout our Code and provide more detailed guidance and requirements for taking actions, managing risks, ensuring compliance, and respecting the rights of others
